1Interpretation and Definitions#

Interpretation

Words with capitalized initial letters have the meanings defined below. These definitions apply whether they appear in singular or plural form.

Definitions

• Company (also "We," "Us," or "Our") refers to Codrlabs Solutions Ltd. The brand name "Codrlabs" refers to the same entity.
• Products refers to our digital applications, currently SpeakshApp and Maestronom, and any future applications developed by the Company.
• Service refers to our Products and all related services.
• Device means any device that can access our Products, such as a smartphone, tablet, or computer.
• User Account means an account created to access our Products and Services.
• Fair Usage Policy refers to our guidelines for reasonable use and abuse prevention.
• Lifetime Purchase refers to a one-time payment granting permanent Pro access to an eligible Product.
• Subscription refers to a recurring payment granting Pro access for the duration of the subscription period.
• Terms and Conditions (also "Terms") mean these Terms and Conditions, forming the entire agreement between You and the Company.
• You means the individual accessing or using our Products, or the entity on behalf of which such individual is acting.

2Acknowledgment#

These Terms govern your use of our Products and Services. By downloading, installing, or using our Products, You agree to be bound by these Terms.

You represent that You are at least 13 years of age. Users under 18 must have parental or guardian consent. Certain actions, including purchases, may require additional age verification as described in Section 5.

3Products and Platforms#

Our Products are currently available on Android via the Google Play Store. We may expand to additional platforms in the future, and these Terms will apply to all platforms on which our Products are offered.

Both Products are designed to work with limited or no internet connectivity. After signing in, SpeakshApp provides a 7-day offline grace period during which its on-device AI tutor (Speekee) remains accessible — other features require an internet connection. Maestronom provides a 14-day offline grace period, during which core features remain accessible without a connection.

4Fair Usage Policy#

Our Products include fair usage protections to ensure service quality and prevent automated abuse.

SpeakshApp:

• FREE users: Limited to 30 words per day and 25 active blindspot words. Users may earn additional daily words by watching optional rewarded advertisements.
• PRO users: Generous daily limits with soft warnings before a temporary cap is reached. No PRO user has come close to hitting these limits under normal use. If You ever do, the app will prompt You to contact us directly and we will resolve it.
• All daily limits reset within 24 hours. No user will be permanently locked out.

Maestronom does not impose usage limits.

5Purchases and Billing#

SpeakshApp — Subscriptions

SpeakshApp offers monthly and annual subscription plans for Pro access, managed through the Google Play Store. Subscription pricing, renewal, and cancellation are governed by Google Play's terms and policies. Refunds are handled according to Google Play's refund policy.

If your subscription is cancelled or expires, your account will be downgraded to the FREE tier and learning data associated with Pro features may be cleared.

Maestronom — Lifetime Purchase

Maestronom offers a one-time Lifetime Purchase for Pro access, as described in Section 6.

Age Verification

In compliance with applicable regulations, we may require age verification before processing a purchase in certain jurisdictions. This verification is facilitated through the Google Play platform.

• Users verified as 18 or older may proceed independently.
• Users under 18 may require parental or guardian approval.
• Users who cannot be verified may be unable to complete the purchase.

6Lifetime Access Policy#

This section applies to Maestronom only.

What's Included

• Permanent access to all current and future Pro features, updates, and bug fixes.
• Free restore on any new device using the same Google Play account.
• Non-transferable (tied to your Google Play account).
• Continued updates for as long as the Company actively maintains the Product.

What's Not Included

• Future paid add-ons or premium expansions (for example: new instrument packs, exclusive sound libraries, advanced AI tools).
• Major new features requiring ongoing server costs, cloud services, or expensive third-party licenses.

Refund Grace Period

A 30-day grace period applies. If You receive a refund through Google Play within 30 days, your Pro access will be revoked and your account will revert to the FREE tier.

Grandfathering Promise

If we ever release a paid successor app, Lifetime Purchase holders will never pay full price again. You will receive either free access or a heavily discounted upgrade that preserves the core Pro experience you originally purchased.

Discontinuation

If Maestronom is discontinued, or if the Company ceases operations, we will make reasonable efforts to provide advance notice. However, Lifetime Purchase holders acknowledge that the Company cannot guarantee support, updates, or access beyond the operational life of the Company or the Product. In such an event, no refund will be issued for Lifetime Purchases.

7On-Device AI#

SpeakshApp includes Speekee, an on-device AI English language tutor.

• Speekee requires a one-time download of AI model data on first use. This download requires an internet connection and adequate device storage.
• Once downloaded, all AI processing runs locally on your device. No conversations or prompts are sent to any external server.
• The AI model files are stored on your device and are removed when you uninstall the application.

Maestronom does not include AI features.

8User Content and Data#

• You retain ownership of any content you create in our Products, including audio recordings and learning data.
• We store your account information and learning data (such as blindspot words and spaced repetition progress) in the cloud to enable cross-device synchronization and prevent data loss.
• Certain data is also stored locally on your device.
• In SpeakshApp, you can delete your learning data at any time through the app settings. Maestronom does not currently offer in-app data or account deletion. To delete your account or request data deletion for Maestronom, contact us using the details in Section 16.

Feedback and Support: When you submit feedback through our apps, your name, email address, account tier, device information, and feedback content are sent to our support team. Your email is used as the reply-to address so we can respond.

Website Contact Forms and Newsletter: When you submit a contact form on our website, your name, email, phone number (if requesting a callback), and message are sent to our team via a third-party email provider. Contact forms are protected by Google reCAPTCHA. When you subscribe to our newsletter, your email address is shared with Brevo, our newsletter provider, for subscription management and delivery of confirmation and campaign emails.

Google Drive Backup (Maestronom only): Maestronom offers an optional Google Drive backup for practice history and audio recordings. This requires you to grant Google Drive permissions. No data is uploaded unless you explicitly initiate a backup. You can revoke Maestronom's access to Google Drive through your Google Account permissions.

Audio Recordings: Both apps may record audio via your device's microphone (SpeakshApp for pronunciation practice, Maestronom for its recording feature). Recordings are stored locally on your device and are not uploaded to any server unless you choose to back them up to Google Drive (Maestronom only).

9Advertising#

SpeakshApp displays optional rewarded advertisements to FREE-tier users through Google AdMob. You choose to watch them in exchange for additional daily words. The AdMob SDK may collect device and usage data in accordance with Google's Privacy Policy.

Maestronom does not display advertisements.

10Prohibited Use#

You agree not to:

• Use automated systems or bots to access our Products.
• Reverse engineer, decompile, or attempt to extract source code.
• Circumvent fair usage limitations, security measures, or age verification.
• Use our Products for any illegal or unauthorized purpose.
• Interfere with or disrupt our Services or infrastructure.

11Termination#

We may terminate or suspend your access immediately, without prior notice, for violation of these Terms or our Fair Usage Policy.

Upon termination, your right to use our Products ceases immediately. No refund will be issued for active subscriptions or Lifetime Purchases revoked due to Terms violations.

You may stop using our Products at any time by uninstalling the applications. In SpeakshApp, you may delete your learning data through the app settings before uninstalling. To delete your account or Maestronom data, contact us using the details in Section 16.

12Limitation of Liability#

To the maximum extent permitted by applicable law, the Company's total liability shall be limited to the amount you paid for our Products in the 12 months preceding the claim, or $100 CAD if you haven't made any purchases.

We are not liable for any indirect, incidental, special, or consequential damages arising from your use of our Products.

13"AS IS" and "AS AVAILABLE" Disclaimer#

Our Products are provided "AS IS" and "AS AVAILABLE" without warranty of any kind. We do not guarantee that our Products will be error-free, uninterrupted, or meet your specific requirements.

We make reasonable efforts to maintain service availability but cannot guarantee 100% uptime.

14Governing Law#

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes will be resolved in accordance with Canadian law, and You consent to the exclusive jurisdiction of the courts of Alberta, Canada.

15Changes to These Terms#

We reserve the right to modify these Terms at any time. For material changes that significantly affect your rights or obligations, we will provide reasonable advance notice through our Products or website. Minor updates (such as clarifications, corrections, or changes reflecting new features) may take effect immediately upon posting.

Continued use of our Products after changes take effect constitutes acceptance of the new Terms.
